On May 11th, 2022, BG3 Global LLC accepted a Letter of Intent from Kyler Henning to purchase substantively all computer hardware field service & support business assets, vendors, customer agreements, Hardware-as-a-Service (HaaS) equipment, tangible and nontangible inventory, and revenue streams, with select exceptions.

The asset sale to Henning Inventions LLC closed on Thursday, July 21st, 2022, with the physical transfer of all tangible assets and liabilities in the following days.

Beginning August 1st, 2022, revenue from technology sales and service operations, and all obligations became those of the new company.

 BG3 Technology Branding

To facilitate a more seamless customer transition, Mr. Henning personally licensed for a period of one year the “BG3 Technology” name, domain, and other branding assets to be used as a transitional name through 2022.

The Licensing and Lease Agreement for “BG3 Technology” branding expired on June 30th, 2023.

The BG3 Technology brand was officially returned to the Licensor.

Mr. Henning and Henning Inventions LLC are no longer permitted to represent themselves as “BG3 Technology,” or as a BG3 branded company, or use the BG3 name, domain, and other branding assets for any purpose.
